Constitution of the CVYO Charitable Trust

1. Title

The name of the Society shall be

The Colne Valley Youth Orchestra Charitable Trust

hereinafter referred to as the Society.

 

2. Objects

The object of the society shall be to promote, improve, develop, and maintain public education in and appreciation of the art and science of music in all aspects by the presentation of public concerts and recitals and by such other ways as the Society through its committee shall determine from time to time.

 

3. Membership

 

The members of the Society shall be those who pay the annual subscription at the appropriate rate or rates as shall be determined by the committee all subscriptions being payable in advance . Membership of the Society shall not constitute membership of The Colne Valley Youth Orchestra. Membership of the Colne Valley Youth Orchestra shall be those people who shall provide such evidence of musical ability that the Committee of the Society may require and who pay the annual subscription of the Colne Valley Youth Orchestra at the appropriate rate or rates as shall be determined by the Committee of the Society, all subscriptions being payable in advance.

 

4. Officers and Committee

The management of the Society and the Colne Valley Youth Orchestra shall be in the hands of a Committee consisting of a Chairman, an Hon Secretary, an Hon Treasurer and at least four others members and not more than six members of the The Colne Valley Youth Orchestra as elected by themselves; the Officers and the other Committee members shall be elected by and out of the Society’s members at the Annual General Meeting; they shall hold office for one year and be eligible for re-election.

 

5. Management

All the arrangements for the concerts and other events and control of finance for The Colne Valley Youth Orchestra and for the Society shall be in the hands of the Committee.

 

6. Finance

a) The financial year shall end on 1st October.

b) A banking account shall be opened in the name of the Society and cheques shall be signed by any two officers of the society.

c) The Society may receive donations, grants in aid and financial guarantees. Tickets for any or all of its concerts and other events shall be offered for sale to the public.

d) The income and property of the Society whencesoever derived shall be applied soley towards promoting the objects of the Society as set forth above and no portion thereof shall be paid or transferred either directly or indirectly to any member or members of the Society except in payment of legitimate expenses incurred on behalf of the Society.

 

7. Dissolution

In the event of the Society being wound up any assets remaining after payment of proper debts and liabilities shall be transferred to a charitable institution or institutions having similar objects to those of the Society.

 

8. General Meeting

Within six weeks of the end of each financial year the membership shall be summoned to an Annual General Meeting of which at least fourteen days notice shall be given.

 

9. Accounts

The financial accounts shall be audited and submitted to the members at the Annual General Meeting.

 

10. Amendments

The Constitution may be amended by a two thirds majority of the members present at an Annual or Special General Meeting, provided that fourteen days notice of the proposed amendment has been sent to all members and provided that nothing therein contained shall authorise any amendment which shall have the effect of the Society ceasing to be a charity.

 

Explanatory Addenda

i. The Trustees of the Society for the time being (December 2007) are:

ii. Mike Boddy, Hon Treasurer

iii. Anne Steward, Hon Secretary

 

ii. The requirement in Para 9 that accounts be audited before submission to the AGM is subject to the Regulations of the Charity Commission, which state that “there is no requirement for independent scrutiny where the gross income for the year in question is £10,000 or less.” In recent years the annual gross income for the Society has been less than £10,000 and therefore the requirement for the accounts to be audited has not been applicable.

 

Revision of the Constitution

 

In the light of recent legislation and recommendations from the Charity Commission and our parent body Making Music, a revised version of the Constitution (see link below) will be presented for the approval of the 2008 AGM.
